Master Investment Agreement

This Agreement governs all investments made on the EstateCoin platform. By registering and investing, you accept all terms below.

DRAFT AGREEMENT — BOOTSTRAPPED PHASE: This agreement is operational for early-stage investor onboarding. Legally binding under the Indian Contract Act 1872.

1. Parties and Platform Operator

This Master Investment Agreement is between White Soil Advisors LLP (LLPIN: AAT-7542), operating EstateCoin at www.estatecoin.in, and the individual or entity who registers on EstateCoin and accepts these terms digitally. MahaRERA Registration: A51800027110. Acceptance is digital at signup and binding under the Information Technology Act 2000. This Agreement covers ALL investments made on the EstateCoin platform, now and in the future.

2. Nature of Investment — What You Own

You acquire BENEFICIAL INTEREST — a contractual right to receive proportionate rental income and appreciation proceeds from the underlying property, corresponding to your token holdings. You do NOT own the property directly. White Soil Advisors LLP holds the property as nominee on your behalf under the Indian Contract Act 1872. Your tokens represent your beneficial interest in the property's income and appreciation.

3. Nominee Structure

White Soil Advisors LLP (Nominee) holds all properties as a nominee on behalf of all token holders collectively. The Nominee's role is purely custodial — to hold legal title and manage the property on behalf of investors. The Nominee does not benefit from the property. All rental income and proceeds flow to token holders proportionally.

4. Token Economics

Tokens are priced at NAV (Net Asset Value), reviewed quarterly by an independent valuer. Token purchase fee: 0.5% of purchase amount. Instant sell: 2% below NAV plus 0.5% fee. P2P marketplace: set your own price between NAV-2% and NAV+5%. Rental income accrues daily from day 3 after purchase. Claimable anytime of every month or claim anytime.

5. Rental Income Distribution

Rental income is calculated as: (tokens held × token price × annual yield%) / 365 × days held. Income accrues daily starting from day 3 of purchase (2-day eligibility period). You can claim accrued income anytime to your EstateCoin wallet, or receive automatic distribution anytime to your wallet. Income is based on the token price at time of purchase, not current NAV or marketplace price.

6. Exit Mechanisms

You have two exit options: (1) Instant Sell — sell tokens back to the platform at 2% below current NAV plus 0.5% fee. Funds credited to your wallet immediately. (2) P2P Marketplace — list tokens for other investors to buy. No listing fee. Sale price between NAV-2% and NAV+5%. No lock-in period. You may exit at any time subject to marketplace liquidity.

7. Risk Disclosure

Investment involves market risk. Returns are not guaranteed. Property values can fall. Rental income may decrease if tenants vacate. Platform risk: EstateCoin is an early-stage platform. EstateCoin is NOT regulated by SEBI. This is not a SEBI-registered product. Past performance does not guarantee future results. Invest only what you can afford to lose. Consult a financial advisor before investing.

8. Fees

Token purchase: 0.5% platform fee. Instant sell: 2% spread plus 0.5% fee. P2P trade (matched): 0.5%. Deposits: Free. Withdrawals: Free. Rental income distribution: 0% — you receive 100% of your proportional share. All fees subject to change with 30 days advance notice.

9. KYC and Compliance

KYC verification is required before investing or withdrawing. You must provide accurate identity documents (PAN and Aadhaar). EstateCoin complies with applicable Indian laws including Prevention of Money Laundering Act (PMLA). Accounts with suspicious activity may be frozen pending investigation.

10. Governing Law and Disputes

This Agreement is governed by the laws of India. Disputes shall be resolved through arbitration in Mumbai under the Arbitration and Conciliation Act 1996. The courts of Mumbai shall have exclusive jurisdiction. By accepting these terms, you agree to this dispute resolution mechanism.

11. Amendments

EstateCoin reserves the right to amend this Agreement with 30 days advance notice. Continued use of the platform after the notice period constitutes acceptance of the amended terms. For material changes, we will notify you by email.
