Legal Structure

How EstateCoin works legally — transparent, verifiable, and compliant with Indian law.

The Beneficial Interest Model

EstateCoin operates under the Indian Contract Act 1872 using a beneficial interest structure. This is the same legal framework used by platforms like PropertyShare and hBits.

01
Property Identification
EstateCoin identifies MahaRERA-registered pre-leased properties in Mumbai with active corporate tenants.
02
Nominee Ownership
White Soil Advisors LLP (LLPIN: AAT-7542) acquires and holds the property as nominee on behalf of all token holders.
03
Tokenization
The property is divided into tokens. Each token represents proportional beneficial interest — a contractual right to income and appreciation.
04
Investor Purchase
Investors buy tokens representing their beneficial interest. No stamp duty on token purchase. No property registration required.
05
Income Distribution
Rental income from the corporate tenant is distributed daily to token holders proportional to their holdings.
06
Exit
Investors exit via instant sell (2% below NAV) or P2P marketplace. Proceeds credited to wallet immediately.

Future Legal Structure Upgrade
EstateCoin plans to register a Master Trust under the Indian Trusts Act 1882 as the platform scales. This will provide investors with a stronger legal framework similar to mutual funds. All investors will be migrated seamlessly when this happens.
